School Terms

These School Terms (the “School Terms”) are the agreement between FanSpot (“FanSpot,” “we,” “us,” or “our”) and each school, district, club, or other organization that uses the FanSpot website, applications, and services (the “Service”) to list events and sell tickets (the “Organizer,” “you,” or “your”). They apply together with the Terms of Service, which govern everyone who uses the Service, and the Privacy Policy. Where these School Terms and the Terms of Service differ, these School Terms govern the Organizer.

1. Who You Are & What You Are Accepting

One person — the Organizer's owner on FanSpot — accepts these School Terms for the Organizer, when creating the Organizer on FanSpot or on the page FanSpot shows until they have. By accepting, that person confirms they are authorized to bind the Organizer, and the Organizer agrees to these School Terms. FanSpot records who accepted, when, and which version. The Organizer's pages on FanSpot stay closed until its owner has accepted the current School Terms.

2. The Service

FanSpot provides the tools to list events, sell and scan tickets, take payments, and manage attendance. The Organizer runs its events. FanSpot is not the organizer, host, promoter, or producer of any event, does not control any venue, and is not a party to the sale between the Organizer and a fan beyond providing the Service and processing the payment.

3. Your Account & Your People

The Organizer decides who may act for it on FanSpot — its owner, admins, staff, and gate volunteers — and what each may do, and is responsible for everything they do on the Service, including at the gate. Keep that access current: remove people who leave. Everyone who signs in agrees to the Terms of Service individually.

4. Fees & Payouts

The fee. FanSpot's fee is $0.75 plus 5% of each paid ticket sold online or by card, and it is included in the price the fan sees: the Organizer sets the sticker price, FanSpot's fee comes out of it, and nothing is added at checkout. Tickets sold for cash at the gate, free tickets, and complimentary tickets carry no FanSpot fee. The fee in force when a ticket is sold is the fee on that ticket; a later change never rewrites a past sale.

Card processing. Online and card payments are processed by Stripe. On a standard account, Stripe's processing cost is covered by FanSpot's fee. An Organizer FanSpot designates as a pilot pays no FanSpot fee; only the card processor's cost comes out of its card sales, and its Billing page says so.

Payouts. Proceeds are paid to the Stripe account the Organizer connects through FanSpot. For each event, FanSpot sends the event's proceeds, less fees and any amounts owed to FanSpot, approximately two days after the event ends; Stripe then pays the Organizer's bank on the schedule the Organizer chose in Stripe. The Organizer is responsible for the accuracy of its Stripe and bank details and for its own Stripe agreement.

Holds and offsets. FanSpot may hold or offset amounts otherwise payable to cover refunds, chargebacks, disputes, suspected fraud, or a negative balance on any of the Organizer's events, and will recover a negative balance from the Organizer's next payout. FanSpot does not invoice an Organizer for a negative balance without talking to it first.

5. Refunds, Chargebacks & Disputes

The Organizer sets its refund policy, tells fans what it is, and decides refunds. When a card sale is refunded, the fan receives the full ticket price; FanSpot forgoes its fee; and the card processor's cost, which the processor does not return, is borne by the Organizer and deducted from its earnings. FanSpot shows the Organizer that figure before a refund is confirmed. A cash sale is refunded by the Organizer from its own cash, and FanSpot moves no money.

Chargebacks and payment disputes on the Organizer's sales, including any dispute fee charged by the processor, are the Organizer's cost and are deducted from its balance. FanSpot will tell the Organizer about a dispute, give it the chance to supply evidence, and respond to the processor on the Organizer's behalf, but cannot guarantee the outcome.

6. Taxes

Ticket prices are set by the Organizer inclusive of any tax the Organizer must collect. The Organizer is responsible for determining, collecting, and remitting any sales, admissions, amusement, or other tax on its sales, and for its own tax-exempt status. FanSpot does not collect or remit tax on the Organizer's behalf, and FanSpot's fee is charged for FanSpot's service to the Organizer.

7. Your Responsibilities

The Organizer is solely responsible for its events, and represents and agrees that:

  • it has the right to sell admission to every event it lists, and its listings, prices, dates, and venues are accurate and not misleading;
  • its events take place as described, or it tells fans promptly when they do not;
  • it is responsible for the safety of attendees, staff, and venues, for crowd management, and for the conduct of its people using the Service, including at the gate;
  • it complies with its district's, league's, or governing body's policies, with its own refund policy, and with all applicable laws, including laws on ticket sales, consumer protection, and student privacy;
  • it uses personal information it receives through the Service only to fulfill orders, admit fans, and manage its events, and never sells it or uses it for unrelated marketing without the person's consent; and
  • it keeps its account, Stripe, and bank details accurate.

8. Your Content & Marks

The Organizer keeps ownership of the content it submits — its name, logos, colors, photos, event descriptions, and documents — and grants FanSpot a non-exclusive, royalty-free license to host, display, and reproduce that content on the Service and in listings, tickets, passes, share images, emails, and search results about the Organizer's events, for as long as the content is on the Service. FanSpot will not name the Organizer as a customer in FanSpot's own marketing without the Organizer's permission.

9. Data

The Organizer owns the information it enters about its school, events, staff, and sales (“Organizer Data”). FanSpot uses Organizer Data only to provide, secure, support, and improve the Service, never sells it, and may use de-identified, aggregated statistics that identify neither the Organizer nor any person. Fans' personal information is handled under the Privacy Policy; the Organizer receives only what it needs to admit a fan or fulfill a sale.

Where FanSpot handles information on a school's behalf, it acts as the school's service provider under applicable student-privacy laws and uses that information only to provide the Service. An Organizer that requires a student-data privacy agreement or specific security standards should tell FanSpot before entering such data, and FanSpot will work with it to meet those requirements.

When the Organizer stops using FanSpot, it may export its data for 30 days afterward; FanSpot then deletes Organizer Data within a reasonable time, except what it must keep for financial records, for tickets already sold, or to meet legal obligations.

10. Confidentiality

Each party will protect the other's non-public information that it receives through this relationship — for FanSpot, the Organizer's rosters, sales, and financial details; for the Organizer, FanSpot's non-public product, pricing, and security information — using at least the care it uses for its own confidential information, will use it only for this relationship, and will not disclose it except to people who need it and are bound to keep it confidential, or as required by law (with notice where permitted). Information that is public, already known, or independently developed is not confidential. This section survives for three years after the relationship ends; information about security and personal information stays confidential for as long as it is held.

11. Our Service Commitments & Disclaimers

FanSpot will provide the Service with reasonable skill and care, keep reasonable security measures, and support the Organizer through the contacts on the Service. Except as stated in these School Terms, the Service is provided “as is” and “as available” without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. FanSpot does not promise that the Service will be uninterrupted or error-free, and does not warrant the conduct of fans or the outcome of any sale.

12. Limitation of Liability

To the maximum extent permitted by law, neither party will be liable to the other for indirect, incidental, special, consequential, or punitive damages, or for loss of profits or revenue, arising out of these School Terms or the Service. FanSpot's total liability for all claims arising out of these School Terms or the Service will not exceed the greater of the fees FanSpot earned from the Organizer in the twelve months before the claim or one hundred U.S. dollars ($100). These limits do not apply to a party's breach of Section 10 (Confidentiality), to its obligations under Section 13 (Indemnification), to its gross negligence or willful misconduct, or to amounts FanSpot owes the Organizer for ticket sales under Section 4.

13. Indemnification

By the Organizer. The Organizer will defend and indemnify FanSpot and its officers, employees, and agents against third-party claims, damages, and expenses (including reasonable attorneys' fees) arising out of the Organizer's events, venues, listings, content, conduct at the gate, taxes, or breach of these School Terms or the law.

By FanSpot. FanSpot will defend and indemnify the Organizer against third-party claims that the Service itself, as provided by FanSpot and used as permitted, infringes a United States patent, copyright, or trademark, or misappropriates a trade secret. FanSpot may resolve such a claim by modifying or replacing the Service, obtaining a license, or — if neither is reasonably possible — terminating the affected part of the Service and refunding any prepaid amounts for it. This does not cover claims arising from the Organizer's content, from use in breach of these School Terms, or from combination with things FanSpot did not provide.

The indemnified party must give prompt notice of the claim, let the indemnifying party control the defense and settlement (which may not admit fault on the indemnified party's behalf without its consent), and cooperate reasonably.

14. Term & Termination

These School Terms apply from the owner's acceptance until the Organizer stops using the Service or either party terminates. Either party may terminate for convenience on 30 days' written notice. FanSpot may suspend or terminate immediately for a material breach, for suspected fraud or a security risk, or to protect fans, and will say why. On termination, tickets already sold remain valid through their events and FanSpot continues to scan them; FanSpot pays the Organizer what it is owed once refunds, chargebacks, and disputes on its sales have settled; and Section 9 governs the Organizer's data. Sections 4 through 6, 9, 10, 12, 13, and 16 through 18 survive termination.

15. Changes to These School Terms

When FanSpot changes these School Terms materially, the Organizer's owner is asked to accept the new version before the Organizer's pages open again, and FanSpot records that acceptance. FanSpot may make non-material changes, such as clarifications, by updating the “Last updated” date; continuing to use the Service after such a change means the Organizer accepts it.

16. Governing Law & Disputes

These School Terms are governed by the laws of the State of California, without regard to its conflict-of-laws rules. Before starting any formal proceeding, the parties will try in good faith to resolve the dispute informally for 60 days after one notifies the other in writing. Any dispute not resolved that way will be brought in the state or federal courts located in California, and each party consents to their jurisdiction. Either party may seek an injunction in any court to protect its confidential information or intellectual property.

17. General

These School Terms, the Terms of Service, the Privacy Policy, and any written agreement FanSpot and the Organizer sign are the entire agreement between them about the Service, and a signed agreement controls where it conflicts. If any part is found unenforceable, the rest remains in effect. A party's not enforcing a provision is not a waiver of it. The Organizer may not assign these School Terms without FanSpot's written consent; FanSpot may assign them to a successor in a merger, acquisition, or sale of assets, and will give notice. Neither party is liable for delay or failure caused by events outside its reasonable control, except for payment obligations. Notices to FanSpot go to [email protected]; notices to the Organizer go to its owner's email address on the Service. The parties are independent contractors.
